Strategic Shape Diagnostic
True Platform
The technology generates distinct therapeutic assets or products. Value survives failure of any single program. True Platforms are rare — far fewer companies qualify than claim the designation. But when the evidence supports it, the economics are materially different: True Platforms receive 2.3x the median upfront compared to Single Asset companies. The premium exists because counterparties are buying optionality, not just one clinical bet.
Deal Structures
How this shape transacts
Multi-asset licensing agreements with retained optionality across the portfolio
Platform partnerships and technology access deals where the counterparty pays to use the underlying technology for their own programs
Co-development with retained economics on platform-derived assets not included in the initial deal scope
Strategic acquisitions priced on platform value, not single-asset milestones
Contradictions
Common contradictions for TP companies
Contradiction 01
Few companies that claim TP actually evidence it — the most common misclassification is ALPA-to-TP, where the company describes a platform but has only one program with meaningful data
Contradiction 02
Platform narrative without platform economics — claiming platform status but structuring deals, capital raises, and board presentations around a single lead asset
Contradiction 03
No external validation — if no third party has paid to access the platform technology for their own use, the platform thesis remains unproven
Counterparty View
What counterparties expect
Counterparties are willing to pay platform premiums — but only with evidence. That means multiple programs with distinct hard data, paid third-party access to the technology, generative IP claims that cover the platform broadly, and a discovery-capable team that has produced new programs after the lead. When the evidence is present, BD teams structure deals around the technology rather than the lead asset, and the economics reflect it.
