Strategic Shape Diagnostic
Asset-Led, Platform Aspiration
The lead asset drives near-term value, but the company claims broader platform potential. This is the most common shape across all four modalities globally — and the most consequential misclassification in life sciences transactions. ALPA companies represent 27% of all companies that claim to be platforms, yet only 8% of those companies have the evidence to support that classification. The gap costs $176M in median deal value.
Deal Structures
How this shape transacts
Lead asset licensing with follow-on options that allow the counterparty to access additional programs if the platform thesis proves out
Co-development agreements anchored to the lead program with contractual optionality on platform-derived assets
Structured licensing deals where platform value is priced as option value, not intrinsic value
Contradictions
Common contradictions for ALPA companies
Contradiction 01
No counterparty has validated the platform beyond the lead — the company describes a multi-asset technology, but no external party has paid to access it for anything other than the lead program
Contradiction 02
Capital plan is SA-shaped — 87%+ of next-round budget is allocated to one program, which contradicts the stated platform identity
Contradiction 03
Pipeline claims without hard data — second and third programs are described in investor materials but sit at target identification or earlier, with no differentiated data
Counterparty View
What counterparties expect
Counterparties will price the lead asset only. Platform potential receives option value at best — a discount to intrinsic, not a premium. BD teams at large pharma have seen this shape hundreds of times and will default to SA-equivalent terms unless the company provides concrete evidence of platform value. That evidence means paid third-party access, multiple programs with hard data, and IP that covers the technology broadly rather than just the lead indication.
